These Terms and Conditions ("Terms") govern your access to and use of the website https://handheldscientific.com ("Site") owned and operated by Hyggelink Health, LLC DBA Handheld Scientific Systems ("we," "us," "our," or "Handheld Scientific"), as well as the purchase of any products ("Products") or services ("Services") from us.

By accessing or using the Site, or by placing an order for Products or Services, you agree to be bound by these Terms. If you do not agree, do not use the Site or purchase from us.

We may update these Terms from time to time. The updated version will be posted here with a revised "Last Updated" date. Your continued use of the Site or purchases after changes constitutes acceptance of the revised Terms.

1. Use of the Site You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site in any way that violates applicable laws or regulations.
• Attempt to gain unauthorized access to the Site, interfere with its operation, or damage it.
• Copy, reproduce, modify, distribute, or create derivative works from any content on the Site without our prior written consent.
• Use any robot, spider, scraper, or other automated means to access the Site.

The Site and its content (text, graphics, logos, images, software) are protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted are reserved.

2. Products and Services - Ordering and Sale Terms These terms apply to the sale of Products (e.g., handheld scientific instruments, devices, accessories) and any related Services (e.g., support, calibration, training).

a. Orders and Acceptance All orders are subject to acceptance by us. We may reject or cancel any order (in whole or part) at our discretion, including due to pricing errors, product unavailability, or credit issues. Your order is an offer to purchase; a binding contract forms only upon our written acceptance (e.g., order confirmation email or shipment).

b. Pricing and Payment Prices are in INR (or specified currency) and exclude taxes, duties, shipping, handling, and insurance unless stated otherwise. Prices are subject to change without notice. Payment terms are as specified at checkout or in the quote (e.g., advance payment, net 30 days for approved accounts). We reserve the right to require prepayment or security. Late payments accrue interest at 1.5% per month or the maximum allowed by law.

c. Shipping, Delivery, and Risk of Loss Delivery dates are estimates only. Risk of loss passes to you upon delivery to the carrier (FOB our facility or as specified). You are responsible for all shipping costs, customs duties, import taxes, and clearance. Title passes upon full payment.

d. Inspection and Returns You must inspect Products promptly upon receipt and notify us in writing of any defects, shortages, or non-conformities within [7-10] days. Authorized returns are subject to our Return Merchandise Authorization (RMA) process, restocking fees (if applicable), and must be in original condition/packaging. Custom or special-order Products are generally non-returnable.

e. Warranties and Disclaimers We warrant that Products will conform to our published specifications at the time of delivery and will be free from defects in material and workmanship for the warranty period stated in the product documentation or quote (typically 12 months from shipment, unless otherwise specified).

THIS WARRANTY IS EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT PRODUCTS WILL MEET YOUR SPECIFIC REQUIREMENTS OR OPERATE ERROR-FREE.

For Services, we warrant they will be performed in a professional manner consistent with industry standards.

f. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY.

Certain laws (including in India) may not allow the exclusion or limitation of implied warranties or consequential damages, so some limitations may not apply to you.

g. Intellectual Property All trademarks, logos, and trade names on the Site and Products are our property or licensed to us. You receive no license or right to use them except as necessary to use the purchased Products in accordance with their intended purpose.

Products may include third-party software or components subject to separate end-user license agreements.

h. Supplementary Terms For certain specialized Products (e.g., custom configurations, software-integrated devices, or regulated instruments), additional supplementary terms may apply and will be provided in the quote, product insert, or separate document. Those terms take precedence over conflicting provisions here.

3. Indemnification You agree to indemnify, defend, and hold us harmless from any claims, losses, liabilities, costs (including reasonable attorneys' fees) arising from your misuse of Products, violation of these Terms, or infringement of third-party rights by your use of Products in combination with other items or in unauthorized ways.
4. Governing Law and Dispute Resolution These Terms are governed by the laws of India, without regard to conflict of laws principles. Any disputes arising out of or relating to these Terms or your purchases shall be subject to the exclusive jurisdiction of the courts in Bhubaneswar, Odisha, India.
5. Force Majeure We are not liable for delays or failures due to events beyond our reasonable control, including acts of God, war, terrorism, pandemics, government actions, strikes, supply shortages, or natural disasters.
6. Miscellaneous If any provision is held invalid, the remainder remains in effect. No waiver of any breach constitutes a waiver of any other breach. These Terms, together with any quote, order confirmation, or supplementary terms, constitute the entire agreement.
